  • Studio Play / Digital Graffiti: Studio Play, registered in the Dutch Trade Register under KvK number 30264162, establishment number 000009413189, domiciled in Amsterdam, The Netherlands, trading under names including Digital Graffiti.
  • Client / Customer: Any individual, company, or legal entity that requests a quotation from Studio Play / Digital Graffiti, enters into an Agreement, or commissions Products or Services.
  • Products & Services: All work, equipment, and services provided by Studio Play / Digital Graffiti for the Client, including the rental and operation of the Digital Graffiti Wall, custom hardware (spray cans, optical 3D trackers), simulation software, digital exports, workshops, and custom event branding.
  • Agreement / Order Confirmation: Any mutual acceptance, confirmed in writing or via electronic correspondence (email), for the delivery of Products or Services.

Article 2. Applicability

2.1 These Terms & Conditions apply to all offers, quotations, bookings, and agreements between Studio Play / Digital Graffiti and the Client, unless explicitly agreed otherwise in writing.

2.2 The application of any purchasing, procurement, or general conditions of the Client is hereby explicitly rejected.

2.3 If any provision of these terms is deemed null or void, the remaining provisions shall remain in full force. The parties will negotiate in good faith to replace any invalid provision with one that preserves the original intent.

Article 3. Quotations & Offers

3.1 All quotations and price estimates issued by Studio Play / Digital Graffiti are non-binding and valid for 30 calendar days from the date of issue, unless expressly stated otherwise in the quote.

3.2 Studio Play cannot be held to a quotation if the Client can reasonably understand that the offer contains an evident error or clerical typo.

3.3 Composite quotes do not obligate Studio Play to execute a partial portion of the assignment for a proportional share of the total price. Quotes do not automatically apply to future bookings.

Article 4. Formation of the Agreement

4.1 An agreement is formally established once:

  • The Client confirms and accepts a quotation in writing or via email; or
  • Studio Play issues written or email confirmation of an order; or
  • Studio Play commences actual work or event preparation with the consent of the Client.

Article 5. On-Site Performance & Venue Requirements

5.1 Studio Play shall perform the services with professional care and skill, according to modern industry standards.

Venue Requirements for Digital Graffiti Wall

For safe, high-quality operation on location, the Client must ensure the following are provided:

  • Floor Space: A stable, covered, indoor (or weather-sealed tent), dry, and level area of at least the dimensions specified in the quotation (standard minimal footprint: 3×3 meters with adequate clearance for participant flow).
  • Electrical Power: At least one dedicated, grounded 230V power outlet (free from high-draw kitchen or industrial spikes) within 10 meters of the installation footprint.
  • Ambient Lighting: For projection setups, an adequately dimmable space free from direct, unfiltered sunlight to ensure vibrant digital paint projection.
  • Access & Setup Time: Unrestricted access to the venue for setup (typically 1.5 to 2 hours prior to start time) and teardown immediately following the conclusion of the event.

5.2 If required venue facilities are delayed or inadequate, Studio Play reserves the right to adjust or pause setup. Any resulting delays or additional expenses shall be borne by the Client.

Article 6. Amendments & Extra Work

6.1 If during preparation or execution it becomes necessary to expand or amend the scope of work (e.g., extending operating hours on-site, adding extra screens, or implementing last-minute custom branding), the parties shall agree on the changes in mutual consultation.

6.2 Any additional hours or services requested by the Client outside the initial scope will be invoiced on the basis of Studio Play's standard hourly and equipment rates.

Article 7. Cancellations & Rescheduling

7.1 Cancellations or rescheduling requests must be submitted in writing or by email.

7.2 Because technicians, equipment, and production schedules are reserved exclusively for the Client's date, the following cancellation schedule applies:

  • More than 30 days prior to event date: 25% of the total quotation fee (to cover reservations and administrative costs).
  • Between 30 and 14 days prior to event date: 50% of the total quotation fee.
  • Between 14 and 7 days prior to event date: 75% of the total quotation fee.
  • Within 7 days of event date: 100% of the total agreed booking fee.

7.3 In genuine force majeure circumstances, Studio Play will reasonably cooperate to reschedule the booking to an available date, provided that unavoidable sunk expenses (such as custom prints, specialized materials, or non-refundable transport) remain payable.

Article 8. Pricing & Payment Terms

8.1 All rates are quoted in Euros (€) and exclude VAT, travel expenses (unless expressly included), and any location-specific parking, toll, or accommodation costs.

8.2 Payments are due within 14 calendar days of the invoice date, without deduction, discount, or setoff.

8.3 Studio Play may require an upfront deposit of up to 50% upon contract signing to lock in the booking date. The remainder is invoiced following completion.

8.4 Late payments will incur statutory commercial interest from the due date, alongside debt recovery collection costs (minimum € 150,-) pursuant to Dutch law.

Article 9. Intellectual Property & Copyrights

9.1 All intellectual property rights in the software, 3D tracking algorithms, custom spray can hardware, simulation systems, visual interfaces, and brand names of Digital Graffiti and Studio Play remain the exclusive property of Studio Play.

9.2 The Client receives a non-exclusive, non-transferable license to use the installation and display the generated artwork during the agreed event period.

9.3 Reverse engineering, decompiling, copying, or duplicating the hardware, tracking devices, or proprietary software is strictly prohibited.

9.4 Studio Play retains the right to document the installation in photo and video formats for its portfolio, website, and marketing promotions, respecting reasonable corporate non-disclosure or privacy requests from the Client.

Article 10. Liability & Indemnity

10.1 Studio Play is only liable for direct damages resulting directly from an attributable failure in fulfilling its contractual obligations.

10.2 Studio Play's liability is strictly capped at the total invoice value of the specific assignment, and in any event limited to the maximum amount paid out by Studio Play’s professional commercial liability insurance.

10.3 Studio Play is never liable for indirect, punitive, or consequential damages, including loss of profit, loss of data, reputational damage, or event disruption.

10.4 The Client is liable for loss or damage to Studio Play equipment caused by guests, attendees, or venue staff, excluding normal operational wear and tear occurring under the supervision of Studio Play operators.

Article 11. Force Majeure

11.1 Neither party shall be held liable for delay or failure caused by circumstances beyond their reasonable control, including but not limited to severe weather conditions (for outdoor setups), venue electrical failures, transport blockades, government restrictions, or general grid outages.

11.2 In the event of force majeure, obligations are suspended for the duration of the event. If performance becomes permanently impossible, the parties shall confer in good faith without liability for damages.

Article 12. Inquiries & Complaints

12.1 Any operational issues during an event should be communicated immediately to the on-site Studio Play crew so prompt corrective action can be taken.

12.2 Subsequent inquiries or complaints must be submitted in writing within 10 calendar days of the event to [email protected].

Article 13. Applicable Law & Jurisdiction

13.1 All legal relationships involving Studio Play / Digital Graffiti are exclusively governed by the laws of The Netherlands.

13.2 Any disputes that cannot be settled amicably shall be submitted to the exclusive jurisdiction of the competent court of Amsterdam, The Netherlands.
